Terms & Conditions

These Terms & Conditions govern your use of the Task Talent Recruitment Ltd website and any recruitment services accessed through it. By using our site or engaging with our services, you agree to these Terms.
1. Definitions and Interpretation
1.1 In this Agreement, unless the context requires otherwise:
- “Agency” means Task Talent Recruitment Ltd.
- “Client” means the individual, company, or organisation receiving services from the Agency.
- “Temporary Staff” means individuals supplied by the Agency to the Client on a temporary basis.
- “Permanent Hire” means a candidate placed by the Agency with the Client for permanent employment.
- “Agreement” means these Terms & Conditions.
1.2 References to the singular include the plural and vice versa.
2. Services Provided
2.1 The Agency provides recruitment services including sourcing, screening, reference checks, and onboarding for Temporary Staff, Permanent Hires, and Fixed-Term contracts.
2.2 The Agency will handle payroll for Temporary Staff unless otherwise agreed.
2.3 The Client shall provide accurate information about roles and requirements.
3. Guarantee Period and Replacement
3.1 The Agency offers a replacement guarantee period of 6 months from the start date of the placed candidate.
3.2 If the candidate leaves or is terminated for any reason within this period, the Agency will provide a one-time replacement at no additional recruitment fee, subject to the Client having paid all fees due.
3.3 The guarantee does not apply if the Client terminates the placement due to redundancy or operational changes.
4. Fees and Payment Terms
4.1 For Permanent Hires, the placement fee shall be calculated as a percentage of the candidate’s first year gross annual remuneration:

£30,001 to £60,000 | 20% |
£60,001 to £100,000 | 25% |
Over £100,000 | 25% |
4.2 Discounts may apply for volume hires or retained search agreements, subject to separate written agreements.
4.3 For Temporary Staff, fees will be charged at agreed hourly or daily rates, plus applicable taxes.
4.4 All fees are payable within 14 days of invoice date unless otherwise agreed in writing.
5. Refund and Replacement Terms
5.1 The Client is entitled to a replacement candidate or refund if a Permanent Hire leaves or is terminated within 12 months of the start date, subject to all fees being paid and in accordance with Section 3.
5.2 No refunds or replacements apply for Temporary Staff unless otherwise specified.
6. Liability & Indemnity
6.1 The Agency shall not be liable for indirect or consequential damages.
6.2 Maximum liability is limited to fees paid in the 6 months prior to the claim.
6.3 The Client indemnifies the Agency against claims arising from the Client’s management or breach.
6.4 The Client is solely responsible for providing a safe working environment for any Temporary Staff or Permanent Hire engaged at its premises or under its supervision. This includes compliance with all applicable health and safety laws, risk assessments, and provision of necessary training, equipment, and supervision.
6.5 The Agency shall not be liable for any injury, loss, or damage suffered by a Candidate while working at the Client’s site, except where such injury, loss, or damage is caused by the Agency’s own negligence.
6.6 The Client agrees to indemnify the Agency against any claims, costs, or liabilities arising from the Client’s failure to provide a safe working environment or comply with relevant health and safety obligations.
6.7 Both parties warrant they maintain necessary insurance, including employer’s liability and professional indemnity.
6.8 Neither party is liable for failure due to force majeure events.
7. Data Protection & Privacy
7.1 Both parties comply with applicable data protection laws including UK GDPR.
7.2 The Agency processes personal data for recruitment, payroll, and compliance.
7.3 The Client agrees to use candidate data only for recruitment and employment purposes.
7.4 Candidate data is shared only with necessary consent.
7.5 Both parties cooperate on data subject rights requests.
7.6 Appropriate security measures are maintained.
7.7 Data retention follows legal and operational needs.
7.8 Clients and candidates acknowledge the Agency’s Privacy Policy, which forms part of this Agreement.
8. Termination
8.1 Either party may terminate with 30 days’ written notice.
8.2 Immediate termination is allowed for material breach or insolvency.
8.3 Fees for services up to termination are payable.
8.4 Rights and obligations that survive termination remain effective.
8.5 Upon termination, confidential information must be returned or securely destroyed.
9. Non-Solicitation
9.1 For the duration of this Agreement and 12 months after, the Client shall not solicit or employ Temporary Staff or Permanent Hires supplied by the Agency without written consent.
9.2 Breach results in a fee of 25% of the candidate’s gross annual remuneration.
10. Governing Law & Jurisdiction
10.1 This Agreement is governed by the laws of England and Wales.
10.2 The courts of England and Wales have exclusive jurisdiction.
10.3 Disputes will first attempt good faith negotiations, followed by mediation if unresolved after 30 days before court proceedings.
11. Miscellaneous
11.1 Entire Agreement: This document and the Privacy Policy supersede all prior agreements.
11.2 Amendments must be in writing and signed.
11.3 Assignment requires prior written consent, except for Agency mergers.
11.4 Severability: Invalid provisions do not affect the rest.
11.5 Waiver: Delay or failure to enforce rights is not a waiver.
11.6 No partnership or agency is created by this Agreement.
11.7 Notices must be in writing and delivered appropriately.

12.3 Modern Slavery
We have a zero-tolerance approach to modern slavery and human trafficking. Task Talent Recruitment complies with the Modern Slavery Act 2015 and takes active steps to ensure our supply chain is free from forced labour, exploitation, or unethical practices. We expect all clients, candidates, and suppliers to share this commitment.
12.4 GDPR Reinforcement
In addition to Section 7, we reaffirm our commitment to lawful, transparent, and secure data handling. We support data subject rights and maintain strict internal controls to protect personal information across all recruitment activities.
