TERMS AND CONDITIONS

1. Definitions
"Agency" means Task Talent Recruitment Ltd.
"Candidate" means any individual introduced, referred, supplied, disclosed or recommended by the Agency.
"Client" means the recipient of recruitment services.
"Introduction" means:
- providing candidate details;
- providing a CV;
- arranging an interview;
- arranging communication;
- identifying a candidate;
- referring a candidate.
"Engagement" means any employment, consultancy, temporary assignment, contractor engagement, self-employed engagement, agency assignment or provision of services.
"Connected Person" means:
- parent companies;
- subsidiaries;
- group companies;
- sister companies;
- affiliates;
- associated businesses;
- persons acting on behalf of the Client.
"Total Remuneration Package" includes:
- salary;
- guaranteed bonuses;
- guaranteed commission;
- signing bonuses;
- retention payments;
- allowances;
- guaranteed benefits;
- monetary incentives.
2. Services
The Agency provides:
- Permanent recruitment;
- Contract recruitment;
- Temporary staffing;
- Executive search;
- Retained search;
- Talent mapping;
- Payroll services;
- Recruitment consultancy.
The Agency may utilise:
- employees;
- workers;
- consultants;
- contractors;
- freelancers;
- subcontractors.
3. Candidate Ownership
The Agency retains ownership of every Introduction for 12 months from the date of Introduction.
If the Candidate is engaged within 12 months by:
- the Client;
- a Connected Person;
- a third party receiving Candidate information from the Client;
the Agency's fee becomes payable.
4. Fees
Permanent Placement Fees:
Up to £30,000 remuneration: 12%
£30,001 to £60,000 remuneration: 20%
Above £60,000 remuneration: 25%
The Agency may agree alternative fees in writing.
All fees are exclusive of VAT.
Where VAT becomes chargeable, VAT shall be added at the prevailing rate.
5. Payment
Invoices are payable within 14 days.
The Agency reserves rights under the Late Payment of Commercial Debts (Interest) Act 1998.
Interest and compensation may be charged on overdue invoices.
6. Replacement Guarantee
One replacement candidate may be provided where:
- the placed candidate resigns; or
- employment is terminated
within three weeks of commencement.
Conditions include:
- all invoices fully paid;
- notification within 7 business days;
- no material change to the role.
7. Rebate Schedule
Weeks 1–2: 100%
Weeks 3–6: 50%
Weeks 7–12: 25%
After Week 12: No Rebate
The Agency may elect to provide a replacement candidate instead of a rebate.
8. Temporary Workers
The Client shall be responsible for:
- supervision;
- management;
- direction;
- health and safety;
- training;
- equipment;
- risk assessments;
- legal compliance.
The Client remains liable for all charges relating to Temporary Workers supplied.
9. Background Checks
The Agency undertakes reasonable efforts to obtain information from:
- candidates;
- referees;
- former employers;
- educational institutions;
- screening providers.
The Agency does not guarantee:
- accuracy;
- completeness;
- authenticity.
The Client remains responsible for assessing candidate suitability.
10. Candidate Disclaimer
The Agency does not guarantee:
- candidate performance;
- honesty;
- qualifications;
- references;
- suitability;
- conduct.
The Agency shall not be liable for:
- fraud;
- dishonesty;
- negligence;
- criminal conduct;
- misconduct
committed by a Candidate.
11. Confidentiality
Candidate information shall be treated as confidential.
The Client shall not disclose Candidate information to any third party without prior written consent.
Unauthorised disclosure resulting in Engagement will trigger a fee.
12. Data Protection
Both parties shall comply with:
- UK GDPR;
- Data Protection Act 2018;
- PECR;
- Data (Use and Access) Act 2025.
The Privacy Notice forms part of these Terms.
13. Intellectual Property
The Agency retains ownership of:
- CRM data;
- candidate databases;
- lead databases;
- business intelligence;
- sourcing records;
- recruitment methodologies;
- notes;
- communications.
14. Liability
The Agency shall not be liable for:
- indirect loss;
- consequential loss;
- loss of profits;
- loss of business opportunity;
- candidate misconduct;
- workplace accidents;
- workplace injuries;
- health and safety failures of the Client.
Maximum liability shall not exceed fees paid by the Client during the previous twelve months.
Nothing excludes liability where exclusion is prohibited by law.
15. Indemnity
The Client indemnifies the Agency against claims arising from:
- workplace management;
- supervision;
- health and safety obligations;
- client instructions;
- legal non-compliance.
16. Non-Solicitation And Circumvention
The Client shall not:
- bypass the Agency;
- engage Candidates outside agreed processes;
- pass Candidate details to third parties.
Any breach will result in the Agency's fee becoming immediately payable.
17. Force Majeure
Neither party is liable for events beyond reasonable control including:
- cyber incidents;
- internet outages;
- cloud provider failures;
- government actions;
- pandemics;
- natural disasters.
18. Termination
Either party may terminate upon 30 days written notice.
Immediate termination may occur for:
- material breach;
- insolvency;
- unlawful conduct.
Outstanding fees remain payable.
19. Governing Law
These Terms are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
Parties shall seek good-faith negotiation and mediation before commencing proceedings.
20. Entire Agreement
These Terms, together with any agreed schedules and the Privacy Notice, constitute the entire agreement between the parties.
